1. Introduction and Acceptance of Terms
Welcome to HostHQ. By accessing, subscribing to, or utilizing our Software-as-a-Service ticketing and event management platform, event organizers ("Organizers") and ticket purchasers ("Consumers") expressly acknowledge and agree to be bound by these Terms and Conditions. HostHQ operates as a technology infrastructure provider situated in the State of New Jersey. These Terms constitute a legally binding agreement governed by the laws of the State of New Jersey, without regard to its conflict of law principles.
2. Platform Role and Limitations of Liability
HostHQ provides the technological infrastructure facilitating the sale of tickets and management of events. HostHQ is not the creator, organizer, or owner of the events listed on the platform. The Organizer assumes full responsibility for the execution, safety, and legality of the event. HostHQ explicitly disclaims any liability for damages, injuries, or losses incurred at the physical event location.
3. Pricing Transparency and Mandatory Disclosures
Pursuant to New Jersey Senate Bill S347 and Assembly Bill A1544, HostHQ and its Organizers must enforce strict all-in pricing mandates to protect Consumers. Organizers utilizing the platform must ensure that the full price of a ticket, which must include a clear, itemized breakdown of all ancillary fees, service charges, processing charges, and any other costs associated with the sale, is prominently disclosed to the Consumer prior to the selection or reservation of the ticket. Under no circumstances may prices or fees be increased during the checkout process. Furthermore, HostHQ and its Organizers are strictly prohibited from applying any delivery fee for tickets that are delivered electronically or that may be printed independently by the Consumer.
4. Event Postponement, Cancellation, and Refund Mandates
In strict compliance with New Jersey law, Organizers must adhere to statutory refund requirements. If an event is postponed, the Organizer must offer the Consumer a full refund, excluding only previously disclosed handling and delivery fees. Alternatively, the Organizer may offer a credit in the exact amount paid. The Consumer must be granted a period of 30 days after the date the postponement is established to claim this refund or credit. In the event of a total cancellation, full refunds must be issued promptly. Failure by an Organizer to authorize required refunds constitutes a material breach of these Terms and will result in the immediate suspension of the Organizer's account, the withholding of pending platform payouts, and potential reporting to the New Jersey Division of Consumer Affairs.
5. Prohibited Resale Practices and Security Circumvention
It is strictly unlawful for any person or entity to resell or offer to resell any ticket initialized through HostHQ if the ticket was initially offered to the public at no charge. HostHQ employs automated monitoring and cryptographic ticket generation to prevent the circumvention of security measures for online ticket sales. Any attempt to utilize automated software, bots, or diggers to bypass purchasing limits or security protocols will result in immediate ticket invalidation and a permanent ban from the platform.
6. Payment Processing and Payouts
All financial transactions are processed securely via our third-party payment processor, Stripe. Organizers must agree to Stripe's Connected Account Agreement. HostHQ deducts its stated platform fees at the time of the transaction. Organizers are solely responsible for remitting all applicable local, state, and federal taxes associated with their ticket sales.
